These Terms of Service ("Terms") govern your access to and use of EthosVerify's fraud detection platform, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using EthosVerify's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

If you are using our Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

EthosVerify provides a fraud detection and prevention platform that includes:

  • Real-time transaction monitoring and risk scoring
  • Behavioral analytics and machine learning models
  • API access for integration with customer systems
  • Dashboard and reporting tools
  • Customer support and documentation

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. Account Registration

To access certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to our systems or data
  • Interfere with or disrupt the Services or servers
  • Reverse engineer, decompile, or disassemble the Services
  • Use the Services to process fraudulent transactions yourself
  • Share your account credentials with unauthorized parties
  • Use the Services in a way that exceeds your purchased capacity
  • Resell, sublicense, or commercially exploit access to the Services

5. Intellectual Property Rights

EthosVerify retains all rights, title, and interest in and to:

  • The Services, including all software, algorithms, and models
  • Documentation, trademarks, and branding
  • Machine learning models and fraud detection methodologies
  • Any improvements, modifications, or derivative works

You retain ownership of data you submit to the Services. By submitting data, you grant us a license to process it solely for providing the Services.

6. Fees and Payment

Access to the Services is subject to payment of fees as specified in your subscription agreement. Key terms include:

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may increase fees with 30 days' notice
  • Overdue payments may result in service suspension
  • All fees are in USD unless otherwise specified

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during the use of Services. Confidential information includes:

  • Technical data, algorithms, and methodologies
  • Business strategies and customer information
  • Pricing and contract terms
  • Security procedures and vulnerabilities

Confidentiality obligations do not apply to information that is publicly available or independently developed.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Services will be uninterrupted or error-free
  • Warranties that fraud detection will be 100% accurate
  • Warranties regarding the quality or performance of the Services

WE DO NOT WARRANT THAT THE SERVICES WILL PREVENT ALL FRAUD OR THAT RISK SCORES WILL ALWAYS BE ACCURATE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • ETHOSVERIFY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT RESPONSIBLE FOR DAMAGES RESULTING FROM YOUR USE OR MISUSE OF THE SERVICES
  • WE ARE NOT LIABLE FOR ACTIONS OR DECISIONS MADE BASED ON RISK SCORES PROVIDED

10. Indemnification

You agree to indemnify, defend, and hold harmless EthosVerify from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Services in violation of these Terms
  • Your violation of any third-party rights
  • Your negligence or willful misconduct
  • Disputes between you and third parties related to your use of the Services

11. Term and Termination

These Terms remain in effect while you use the Services. Either party may terminate:

  • You may terminate your account at any time through account settings
  • We may suspend or terminate access for violations of these Terms
  • We may terminate with 30 days' notice for any reason
  • Upon termination, your right to use the Services immediately ceases

Provisions that should survive termination (intellectual property, disclaimers, limitation of liability, indemnification) shall remain in effect.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved:

  • Through binding arbitration in San Francisco, California
  • In accordance with AAA Commercial Arbitration Rules
  • On an individual basis (no class actions)
  • Except for intellectual property disputes, which may be brought in court

13. Changes to Terms

We may modify these Terms at any time. Changes will be effective:

  • Upon posting to our website
  • For material changes, 30 days after notice to users
  • Continued use after changes constitutes acceptance
